Terms of Service

Please read these Terms of Service ("Terms") carefully before using SPEND.md ("Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account or using our Service, you represent that you are at least 18 years old, have the legal capacity to enter into this agreement, and agree to comply with these Terms. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity.

2. Description of Service

SPEND.md provides financial infrastructure for AI agents, including:

  • Virtual card issuance and management
  • Spending controls and limits for AI agents
  • Transaction monitoring and reporting
  • API and CLI tools for programmatic control
  • Earning capabilities through payment acceptance

The Service is designed for legitimate business purposes and lawful AI agent operations.

3. Account Registration

To use the Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account
  • Complete identity verification as required for financial services

We reserve the right to suspend or terminate accounts that violate these Terms or applicable laws.

4. Financial Services Terms

4.1 Virtual Cards

Virtual cards are issued by our banking partner and subject to their terms. You agree to:

  • Use cards only for authorized business purposes
  • Maintain sufficient funds for transactions
  • Not use cards for prohibited merchant categories
  • Report unauthorized transactions immediately

4.2 Spending Controls

You are responsible for configuring appropriate spending limits and controls for your AI agents. SPEND.md provides tools but does not guarantee prevention of all unauthorized transactions.

4.3 Funds and Balances

Funds in your SPEND.md account are held by our banking partner. We do not pay interest on balances. Withdrawals are subject to verification and may take 1-5 business days.

5. Prohibited Activities

You agree not to use the Service for:

  • Illegal activities or transactions
  • Money laundering or terrorist financing
  • Fraud, deception, or misrepresentation
  • Circumventing spending controls or limits
  • Purchasing prohibited goods or services
  • Violating any applicable laws or regulations
  • Interfering with the Service or its infrastructure
  • Reverse engineering or unauthorized access attempts
  • Reselling or redistributing the Service without authorization

6. Fees and Billing

Fees for the Service are described on our pricing page. We may change fees with 30 days' notice. You agree to pay all applicable fees and charges. Failure to pay may result in service suspension.

  • Subscription fees are billed in advance
  • Transaction fees are deducted from transaction amounts
  • All fees are non-refundable unless otherwise stated

7. Intellectual Property

The Service, including its software, documentation, branding, and content, is owned by SPEND.md and protected by intellectual property laws. You receive a limited, non-exclusive license to use the Service as permitted by these Terms.

You retain ownership of your data and configurations. By using the Service, you grant us a license to process your data as necessary to provide the Service.

8. Data and Privacy

Your use of the Service is subject to our Privacy Policy. You are responsible for ensuring your use of the Service complies with applicable data protection laws.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

We do not guarantee the accuracy of AI agent transactions or decisions made using the Service. You are responsible for monitoring and controlling your AI agents' financial activities.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEND.MD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless SPEND.md and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Actions of AI agents operating under your account

12. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account immediately for violations of these Terms or applicable laws. Upon termination:

  • Your access to the Service will cease
  • Outstanding balances will be returned (minus fees)
  • Virtual cards will be cancelled
  • We may retain data as required by law

13. Modifications

We may modify these Terms at any time. Material changes will be notified via email or through the Service at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of Sweden, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Stockholm, Sweden.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and SPEND.md regarding the Service.
  • Severability: If any provision is found invalid, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any provision does not waive the right to enforce it later.
  • Assignment: You may not assign these Terms without our consent.
